BNC io Affiliate Program Agreement & Code of Conduct

This Agreement includes a class action waiver that limits your rights to participate in certain legal actions.
Please review this Agreement in full, including the dispute resolution terms, before joining or continuing participation in the BNCio Affiliate Program.

This Affiliate Agreement outlines the relationship between you (“Affiliate,” “You,” or “Your”) and BNCio, a division of BNC International LLC (“BNCio,” “we,” or “us”). By registering or participating in the Program, you agree to comply with the terms of this Agreement and any policies linked herein, including the BNCio Terms of Service and Privacy Policy. Your participation in the Program establishes a legally binding relationship with BNCio. If you represent a business or organization, you confirm that you have the authority to bind that entity to this Agreement.

BNCio reserves the right to modify, update, or replace this Agreement at any time. Continued participation in the Program following any modifications constitutes your acceptance of those changes. Affiliates are responsible for ensuring that their activities, representatives, and agents remain compliant with this Agreement at all times. Any violation by you or your representatives will be considered a breach of contract.

SECTION 1. PROGRAM APPLICATION

To join the BNCio Affiliate Program, you must provide accurate and complete information as requested during the application process.
By applying, you represent and warrant that all details you submit are truthful, current, and correct.

BNCio reserves the exclusive right to determine whether you qualify for participation in the Program and may accept or reject applications for any reason at its discretion.

You consent to receive communication from BNCio regarding your application and affiliate account via email, SMS, or other digital channels provided in your application.
It is your responsibility to ensure you can receive these notifications and that your contact information remains up to date.

If you wish to stop receiving text messages from BNCio, reply “STOP” to the number used for Program communications. This will only opt you out of that specific BNCio text list and not from other necessary updates related to your account.

You understand that network or carrier issues are outside of BNCio’s control and that BNCio will not be liable for interruptions or delivery failures caused by third-party providers.
BNCio reserves the right to suspend, limit, or terminate text communications or other messaging services at any time, with or without prior notice.

SECTION 2. PROGRAM RULES

When participating in the BNCio Affiliate Program, you agree to conduct yourself professionally and in compliance with all Program Rules (“Rules”).

If BNCio determines that you have violated any of these Rules, you may be considered in material breach of this Agreement.
In such cases, BNCio may take corrective actions, including withholding or forfeiting unpaid commissions, suspending your account, or permanently terminating your participation.

You agree to comply with:

a. The Code of Conduct outlined in Exhibit A;

b. All applicable laws, policies, and advertising guidelines, including but not limited to:

  • The Federal Trade Commission (FTC) Endorsement Guides and similar regulations governing online promotion and advertising;

  • The terms of service and user agreements of any websites or platforms where you promote BNCio products; and

  • The privacy and data protection laws relevant to your region of operation.

SECTION 3. AFFILIATE RESPONSIBILITIES

As a BNCio Affiliate, you agree to uphold the reputation, integrity, and ethical standards of BNC International LLC at all times.
You are responsible for maintaining your marketing channels, ensuring compliance with advertising laws, and accurately representing BNCio’s products and services.

SECTION 3.1 . Marketing and Promotion Guidelines

  • You may promote BNCio using only the approved marketing materials provided by BNC International or those you have created that comply with our Brand Guidelines.

  • You may not engage in any form of false, misleading, or unethical marketing that could harm BNCio’s brand or mislead customers.

  • You may not promote BNCio through spam, unsolicited messages, or deceptive traffic tactics.

  • You agree not to bid on BNCio’s branded keywords or close variations (e.g., “BNCio login,” “BNCio app,” or “BNC International”) on Google Ads or other search platforms.

3.2. Affiliate Disclosure Requirements

Affiliates must clearly and conspicuously disclose their affiliate relationship whenever promoting BNCio products or services.
Acceptable disclosures include, but are not limited to:

“As a BNCio affiliate, I may earn commissions from qualifying purchases or signups through the links on this page.”

This disclosure must appear before or near any affiliate link and comply with the FTC Endorsement Guidelines or other local regulations.

3.3. Account Security

You are solely responsible for maintaining the confidentiality of your affiliate account credentials.
You agree to notify BNCio immediately if you suspect unauthorized access or misuse of your affiliate account.
BNCio is not liable for any loss or damage resulting from your failure to safeguard your login information.

SECTION 4. COMMISSIONS AND PAYMENTS

4.1. Commission Eligibility

You will earn a commission for each qualifying sale or subscription that:

  • Was generated through your unique affiliate tracking link;

  • Was not canceled, refunded, or flagged as fraudulent; and

  • Meets the requirements outlined in the Affiliate Dashboard.

All commissions are calculated based on net revenue, excluding taxes, refunds, chargebacks, or processing fees.

4.2. Payment Schedule

BNCio processes affiliate payments on a monthly basis, typically within the first 15 business days of each new month.
Payments are issued through PayPal, Wise, or any other approved payment method listed in your affiliate account.

To receive payment, you must:

  • Have a minimum commission balance of $50 USD; and

  • Submit accurate payment details and tax information through your affiliate portal.

4.3. Refunds and Adjustments

If a customer cancels their subscription, receives a refund, or if BNCio detects fraudulent activity, related commissions will be deducted or reversed from your future payments.
BNCio reserves the right to audit, delay, or withhold commission payments if suspicious or non-compliant activity is detected.

4.4. Taxes

You are responsible for all applicable taxes, including VAT, income tax, or other levies imposed by your jurisdiction.
BNCio may require the submission of tax forms (such as W-9, W-8BEN, or equivalent) prior to releasing commission payments.
